PLEASE READ THESE TERMS AND CONDITIONS OF SALE AGREEMENT VERY CAREFULLY.   THE DISTRIBUTOR AGREES TO BE BOUND BY THIS SALE AGREEMENT AND ALL OF THE EXTENSION OF THE AGREEMENT BY ACCEPTING ALL TERMS AND CONDITIONS SET FORTH BY EACH INDIVIDUAL AGREEMENT.

Each agreement is a legal binding contract with each distributor regardless of geographic location. Each agreeement follows and is in agreement with business and commercial practices in the State of California, United States of America.

 

Governing Law

 

THIS AGREEMENT AND ANY SALES HEREUNDER SHALL BE GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA , WITHOUT REGARD TO CONFLICTS OF LAWS RULES. THE CUSTOMER CONSENTS TO THE JURISDICTION OF THE FEDERAL OR STATE COURTS LOCATED IN LOS ANGELES COUNTY , CALIFORNIA FOR PURPOSES OF ANY SUIT, ACTION OR PROCEEDING ARISING OUT OF THIS SALE AGREEMENT.

Limitation of Liability

 

American Vivatech Corporation  WILL NOT BE LIABLE FOR LOST PROFITS, LOSS OF BUSINESS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY EXCEPT AS EXPRESSLY PROVIDED HEREIN. American Vivatech Corporation WILL NOT BE LIABLE FOR PRODUCTS OR SERVICES NOT BEING AVAILABLE FOR USE OR FOR LOST OR CORRUPTED DATA OR SOFTWARE. CUSTOMER AGREES THAT FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCTS OR SERVICES, American Vivatech Corporation IS NOT LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE AGGREGATE DOLLAR AMOUNT PAID BY CUSTOMER FOR THE PURCHASE(S) UNDER THIS AGREEMENT.

 

Shipping

 

All shipping terms and conditions are in accordance with the signed agreement of each distributor. No individual sales allowed. In regards to request for samples, all requests will be processed within 72 hours; unless otherwise stated or requested, the default carrier for shipping will be United Postal Services.

 

Returns

 

All returns, exchanges, or replacements will be determined based upon individual incident. All Return Merchandise Authorization must be requested within 72 hours of receipt via E-mail to info@vimkon.com. After 72 hours, unless certain defective condition has been confirmed, no return nor exchanges will be allowed.
